ADDITIONAL SUBSCRIPTION AGREEMENT TERMS Each investor will be required to execute a Subscription Agreement containing additional terms and conditions, including but not limited to: Representations and warranties regarding accredited investor status, investment intent, and sophistication; Acknowledgment of receipt and review of this PPM; Agreement to transfer restrictions and lock-up provisions; Acknowledgment and acceptance of risks; Agreement to arbitration and governing law provisions; Indemnification obligations; Power of attorney granting the Manager authority to execute certain documents on behalf of investors; Consent to electronic delivery of notices and communications; Anti-money laundering and sanctions certifications; Beneficial ownership certifications (for entity investors). The Subscription Agreement will be incorporated by reference into the Company's Operating Agreement and will constitute a binding agreement between the investor and the Company.
